We are seeking a highly motivated and detail-oriented Company Secretaryto to join our growing startup. In this role, you will be responsible for overseeing all corporate governance matters and ensuring compliance with regulatory requirements across multiple countries. As a critical member of our team, you will help shape the foundation of our company’s legal and corporate structure and work closely with senior management to drive the company’s success.
Responsibilities
- Manage the process of corporate filings with government authorities, such as incorporation documents, licenses, and other legal filings across all jurisdictions, with support from local consultants.
- Ensure the company is in compliance with local, national, and international regulations, including the filing of corporate documents, annual returns, and statutory filings.
- Prepare and coordinate with consultants to prepare documents and resolutions for board and shareholder meetings.
- Maintain the company’s legal records, minute books, and statutory registers, and manage the preparation and execution of legal documents such as resolutions, contracts, and agreements.
- Develop and implement policies, procedures, and controls to ensure ongoing compliance with all relevant laws, regulations, and industry standards.
Requirements
- A qualified Company Secretary with a degree in Law, Business Administration, or a related field. CS qualification or equivalent certification required.
- 4-8 years of experience in a company secretarial or legal compliance role, ideally within a startup or fast-growing organization
- Experience in managing compliance across multiple countries will be an added advantage.
- Strong understanding of corporate governance principles, legal compliance, and statutory reporting requirements.
- Excellent verbal and written communication skills.
- Highly organized and detail-oriented, with the ability to manage multiple priorities in a fast-paced environment.
- High level of integrity and ability to manage sensitive and confidential information.
- Proactive and able to work independently while contributing to a collaborative team environment.
- Flexible and adaptable to the changing needs of a startup environment.
